On September 14, S&C Corporate Governance co-head Melissa Sawyer, General Practice partner Heather Coleman and associate June Hu hosted a webinar to explain the lessons of the 2023 Proxy Season and what to expect in 2024. They examined topics including shareholder proposals and their respective support thresholds, and compensation-related matters.
The webinar draws on Sullivan & Cromwell’s 11th annual Proxy Season Review, which analyzes significant trends and developments that emerged from the past proxy season. The first part of our Review highlights implications of the 2023 proxy season in which shareholders submitted a record-breaking number of meeting proposals for a second straight year, with a majority of the submissions focusing on social capital management issues, including civil rights and racial equity impact, and human capital management. The second part of this Review focuses on trends in compensation-related matters.
