Insights for Companies and Board Directors

Sullivan & Cromwell’s annual Proxy Season Review analyzes significant trends and developments that emerged from the recent U.S. annual meeting proxy season and provides takeaways for 2024. The first part of our Review surveys shareholder proposals during the 2023 proxy season, which reflect record high submissions and voted proposals, but record low support and pass rates. The second part of this Review focuses on trends in compensation-related matters.
