On September 19, S&C Corporate Governance co-heads Marc Treviño and Melissa Sawyer and associate June Hu hosted a webinar to explain the lessons of the recent U.S. annual meeting proxy season and what to expect going forward. They examined topics including Rule 14a-8 shareholder proposals, including those focused on environmental and social/political issues, and compensation-related matters.
The webinar draws on Sullivan & Cromwell’s tenth annual Proxy Season Review, which analyzes significant trends and developments that emerged from the past proxy season. The first part of our Review highlights implications of the 2022 proxy season in which shareholders submitted a record-breaking number of meeting proposals, largely focused on ESP, including proposals related to diversity and inclusion, political spending/lobbying and sustainability. The second part of this Review focuses on say-on-pay and equity compensation matters.
