    Sullivan & Cromwell's tenth annual Proxy Season Review analyzes significant trends and developments that emerged from the recent U.S. annual meeting proxy season. The first part of our Review highlights implications of the 2022 proxy season in which shareholders submitted a record-breaking number of meeting proposals, largely focused on environmental and social/political topics (ESP), including proposals related to diversity and inclusion, political spending/lobbying and sustainability. The second part of this Review focuses on say-on-pay and equity compensation matters.
