Arnaud Berdou, Stephan Rauch and Matthew Triggs co-authored an article for Law360, “An Overview of European Private Investments in Public Equity,” which focuses on recent PIPE transactions and the opportunities they can offer issuers and investors within challenging market and financing conditions. The article discusses best practices for planning a PIPE in Europe and key issues for advisors to consider and spotlights jurisdictional differences that will drive structuring and successful execution.
The article also highlights how recent and proposed changes to U.K. capital markets regulation should make PIPEs easier to execute going forward. “Looking ahead, it will be interesting to see whether PIPE investors will look to divest positions acquired in recent years,” the authors write.
