For advising SoftBank Group on the $5.23 billion IPO of its subsidiary Arm Holdings, S&C has been named a finalist for the Financial Times Innovative Lawyers Awards Asia Pacific in the “Innovative Lawyers in Unlocking Capital” category. The largest IPO of 2023, the transaction required extensive cross-border coordination among S&C lawyers in London, Palo Alto, Tokyo, New York and Washington, D.C.
The S&C team advised on complex matters of U.S. Federal, New York state and U.K. law, seamlessly covering capital markets, M&A, U.S. and U.K. tax, antitrust, and other disciplines to ensure that all aspects of the transaction were completed on time, while supporting the client’s legal and business teams in achieving their goals for the transaction. The IPO valued Arm at $54.5 billion and generated $5.12 billion in proceeds to SoftBank as the selling shareholder of all American depositary shares sold in the offering. Arm’s IPO is even more impressive given that the first half of 2023 was the slowest opening period for global IPOs since 2016.
