    Nirav N. Mehta joined the Firm’s Tokyo office in 2018 and has been Partner since 2024. He focuses on capital markets and other corporate transactions, and he has a broad range of experience working on matters for issuers, underwriters and other market participants, including initial and follow-on public offerings of equity and senior and subordinated note offerings as well as consent solicitations, exchange offers and other liability management transactions, both on a registered basis and pursuant to various exemptions from registration with the SEC. Mr. Mehta has been recognized by Chambers and Partners (Japan Capital Markets: International: US Law) and Legal500 (Japan: Capital Markets: International firms and joint ventures).

    A native speaker of English, Mr. Mehta is also a fluent speaker of Japanese.

    • Nippon Steel Corporation in its ¥600.0 billion zero coupon convertible bonds offering in 2026
      The 2026 issuance was the largest ever convertible bond issuance by a Japanese company, and, following the issuance, Nippon Steel was named “Equity Issuer of the Year” by LSEG DealWatch.
    • Nomura Holdings in its $750 million Tier 2 Capital and TLAC securities offering, $1 billion AT1 securities offering and $1.25 billion TLAC notes offering in 2025 and $2.0 billion SEC-registered offering of senior notes in July 2024
    • Rakuten Group, Inc. in its $550 million undated subordinated notes offering, ¥50.0 billion senior notes private placement, $2.0 billion senior notes offering and $1.8 billion senior notes offering in 2024 and tender offers to purchase up to $1 billion aggregate principal amount of certain of its outstanding securities in 2024

      The Nasdaq listing and IPO of PayPay was named “Innovative Equity Deal of the Year” by LSEG DealWatch.

      The SoftBank Corp. IPO was the largest IPO in Japan of all time and the second largest IPO ever globally at the time. Named “Technology, Media and Telecommunications Deal of the Year” and “Equity Deal of the Year” by the Asian Legal Business.
    • Takeda Pharmaceutical Company Limited in its €3.6 billion offering of senior notes and $7 billion offering of senior notes in 2020, in an Exxon Capital exchange offer in respect of $4.5 billion of senior notes in 2019 (the first ever by a Japanese issuer), in its listing on the New York Stock Exchange in 2018 and in its €7.5 billion offering of senior notes and $5.5 billion offering of senior notes in 2018 in connection with its acquisition of Shire plc
      The 2018 dollar-denominated notes offering was the largest dollar-denominated bond offering by a Japanese issuer in history and the 2018 euro-denominated notes offering was the largest debut euro-denominated unsecured bond offering in history. The offerings were named “Debt Market Deal of the Year” by the Asian Legal Business.

    • The initial purchasers in Mitsui Fudosan Co., Ltd.’s $300 million offering of senior notes in 2022
    • The international managers in a $303.7 million global offering of investment units by Nomura Real Estate Master Fund, Inc., a Japanese Real Estate Investment Trust, in 2019
    • The initial purchasers in Rakuten Group, Inc.’s €1 billion offering of subordinated notes and $1.75 billion offering of subordinated notes in 2021 and $800 million offering of senior notes pursuant to Regulation S in 2019
    • The international managers in Recruit Holdings Co., Ltd.’s $3.3 billion global equity offering in 2019
    • The international managers in Skylark Holdings Co., Ltd.’s $369.2 million global equity offering in 2021
