SEC Proposes Rules to Modernize and Simplify Regulation S-K Disclosure Requirements: Proposal Would Streamline MD&A to Provide Flexibility in Discussing Historical Periods and Simplify Exhibit Practices and Related Process for Confidential Treatment Requests

On October 11, 2017, the Securities and Exchange Commission proposed amendments to modernize and simplify disclosure requirements in Regulation S-K and to make parallel amendments to investment company and investment adviser rules and forms. The amendments are intended to improve the readability and navigability of disclosure documents and discourage repetition and disclosure of immaterial information.

The proposed amendments are available on the SEC’s website at Public comments on the proposed amendments will be due within 60 days after publication of the proposed amendments in the Federal Register.
