C.Banner International Holdings Limited, a Hong Kong-listed women’s footwear retailer, announced that it had on May 9 entered into a definitive agreement to sell Hamleys, the world’s oldest toy retailer, to Reliance Brands Limited in a deal worth $88.5 million. The sale of Hamleys will allow C.Banner to focus on its self-developed brands and to enhance its role in manufacturing for international shoe companies.
Reflecting the global nature of the deal, S&C assembled an international team of lawyers led by corporate partners Ben Perry in London and Kay Ian Ng in Hong Kong. Partners Chris Beatty and Juan Rodriguez advised on financing and antitrust matters, respectively.
S&C previously acted for C.Banner on the financing and Hong Kong listing aspects of its acquisition of Hamleys in 2015.
