On December 14, the Delaware Court of Chancery granted a motion to dismiss duty of oversight claims against a company’s former president. The decision rejected an argument that the court should apply a lower standard for oversight claims against officers as opposed to directors, and emphasized that Caremark claims will survive dismissal only in extraordinary cases.
