Sergio Galvis and Benjamin Kent authored an article in Lexis Practice Advisor, “Cross-Border Acquisitions: Top 10 Pre-deal Considerations,” which provides an overview of some of the key issues faced by acquirers of foreign businesses in cross-border M&A transactions. The authors discuss steps that parties can take to address those issues in advance of a deal, including selecting the best-suited financial, legal, tax and other advisers, evaluating political risks and assessing antitrust and securities laws of the target company’s jurisdiction.
Given the additional complications that cross-border acquisitions present, the authors advocate preparing thoroughly and meticulously to set the transaction up for the best chance of success.
