Senior M&A Partner Frank Aquila and M&A partner Lauren Boehmke co-authored the “United States” chapter for the eighth edition of The Shareholder Rights and Activism Review. The chapter chronicles a brief history of shareholder activism, the laws applicable to it, recent trends, notable campaigns, key regulatory developments and an outlook for the activism landscape going forward. Frank is the Editor of the publication and also authored the preface to the Review, which contextualizes shareholder activism’s role since the 2008 financial crisis. Read the preface.
“Although company management generally had a stronger record of defeating activists in 2022 as compared with prior years, the SEC’s new universal proxy rule and other regulatory and market changes are having an impact on these trends,” Frank and Lauren said. “Going forward, the heightened focus on corporate governance and ESP issues is expected to continue.”
