    • Advised Vigie (formerly known as Suez) on the Asian aspects of its reorganization in connection with the agreement with a consortium of investors to create a new Suez resulting from the divestment of over $7 billion of assets, in the context of its acquisition by Veolia 
    • Advised C.banner on its $88.5 million sale of Hamleys Global Holdings Limited, owner and operator of leading toy retailer brand “Hamleys”, to Reliance Brands 
    • Advised NWS Holdings Limited (a member of the New World group) on its agreement to acquire FTLife Insurance Company Limited for a total consideration of $2.75 billion 
    • Advised Pou Chen Corporation on its proposed $1.39 billion privatization of its indirect Hong Kong-listed subsidiary Pou Sheng International (Holdings) Limited by way of a scheme of arrangement

    • Advised China Mobile on the Hong Kong aspects of its $8.2 billion IPO of A shares and listing on the Main Board of the Shanghai Stock Exchange – Capital Markets Deal of the Year 2022 by China Business Law Journal, TMT Deal of the Year at China Law & Practice Awards 2022, Equity Market Deal of the Year – Premium at Asian Legal Business’ China Law Awards 2022, and Finalist for Innovation in Enabling Business Growth at FT Innovative Lawyers Asia Pacific Awards 2022  
    • Advised New Horizon Health’s underwriters on its $263 million Hong Kong IPO 
    • Advised TOT BIOPHARM on its $75 million Hong Kong IPO 
    • Advised CSMall Group on its spin-off from China Silver Group and $59 million Hong Kong IPO

    Acquisition Financing

    • Advised ENN Group International Investment Limited on its bank financing for its acquisition from Hony Capital of an investment holding company holding 100 million ordinary shares of Santos Limited for a total consideration of $449 million, and the refinancing of this margin loan
    • Advised C.banner on its bank financing for its $151 million acquisition from Ludendo Group of Hamleys Global Holdings Limited (formerly known as Ludendo Enterprises UK Limited), and the repayment and security release upon the sale of Hamleys 

    Regulatory and Compliance Matters

    • Advised China Mobile on compliance matters under Hong Kong Listing Rules and Hong Kong laws, in particular its information disclosures as a Hong Kong and Shanghai dual-listed company
    • Advised TOT BIOPHARM on compliance matters under Hong Kong Listing Rules and Hong Kong laws, including its follow-on issuance of shares to its two largest shareholders
    • Advised China Silver Group and its subsidiary CSMall Group on compliance matters under Hong Kong Listing Rules, including periodic, transactional and ad hoc disclosures and other Hong Kong regulatory affairs relating to their four business segments spanning from manufacturing to new economy
    • Advised Foxconn Interconnect Technology on compliance matters under Hong Kong Listing Rules, including information disclosures relating to its acquisition of the PRETTL SWH group specializing in automotive sensor cable and wiring solutions and its formation of a joint venture with Sharp Corporation focusing on automotive cameras and electronic mirrors

    • Advised Chailease Holding Company Limited’s initial purchasers and joint bookrunners on its $388 million GDS offering
    • Advised Taiwan Cement Corporation’s initial purchaser and sole bookrunner on its offering of $400 million overseas unsecured convertible bonds
