S&C client Mountain & Co. I Acquisition Corp. (MCAA), a publicly traded special purpose acquisition company formed by the founders of international investment firm Mountain Partners, entered into a business combination agreement with Barça Media, the digital content creation platform for FC Barcelona, one of the world’s most successful and storied professional football clubs.
Barça Media’s high-growth business centralizes the creation, production and commercialization of FC Barcelona’s digital and esports output and incorporates all of the digital content the football club has produced over the past 20 years.
The combination with MCAA will give Barça Media access to the U.S. and other global financial markets to accelerate its growth strategy by leveraging FC Barcelona’s fanbase, the largest among all professional football clubs, and its strong brand recognition. In turn, the transaction is strategically important for the football club as well, reinforcing its digital transformation.
The transaction values the combined company at a pro-forma enterprise value of approximately $1 billion. Upon closing, it is expected to be listed on NASDAQ under the ticker symbol “BRME”.
