Thomas H. Lee Partners Affiliates Sell 5 Million Shares of Common Stock of Black Knight Financial Services

Affiliates of private equity firm Thomas H. Lee Partners (THL) sold 5,000,000 shares of Class A common stock of Black Knight Financial Services, Inc. (BKFS), and on May 18, THL sold 750,000 shares pursuant to the underwriter's exercise in full of its option to purchase additional shares. S&C represented the underwriter, J.P. Morgan, who agreed to purchase the shares at a price of $38.61 per share, resulting in aggregate net proceeds to THL of approximately $222 million.

BKFS is a leading provider of integrated technology, workflow automation, data and analytics to the mortgage and real estate industries. It is controlled by Fidelity National Financial, a leading provider of title insurance, technology and transaction services to the real estate and mortgage industries. THL is also a major shareholder of BKFS.
