S&C Represents Anheuser-Busch in Its Acquisition of Craft Brew Alliance

November 20, 2019

S&C client Anheuser-Busch has agreed to purchase the remaining Craft Brew Alliance (CBA) shares it does not already own in a merger transaction for $16.50 per share. Anheuser-Busch currently owns a 31.2 percent stake in CBA. The deal is expected to close in 2020.
Anheuser-Busch, a wholly-owned subsidiary of Anheuser-Busch InBev, is headquartered in St. Louis, Missouri. The majority of CBA's brands are already distributed through Anheuser-Busch's network of independent wholesalers. CBA will join Anheuser-Busch's Brewers Collective – a collection of craft partners spread throughout the country committed to providing consumers with innovative, quality beers and investing in their local communities.
S&C has advised Anheuser-Busch InBev in some of their most strategically significant transactions over the last several years, including its Hong Kong IPO and its $123 billion merger with SABMiller in 2016, among other noteworthy transactions. The S&C team that advised Anheuser-Busch was led by corporate partners Frank Aquila and George Sampas and includes associates Mimi Wu, Lisa Morales and Natalie Vernon. S&C tax partners Ron Creamer and Eric Wang provided tax advice, along with associates Michelle Lu and Anna Demaree. IP partner Nader Mousavi and associates KJ Lim advised on intellectual property matters and special counsel Matthew Brennan advised on environmental matters.
