In the midst of the COVID-19 pandemic, clients both long-standing and new have entrusted S&C’s Capital Markets Group with major transactions. From March through May, our lawyers around the world advised on 121 capital markets offerings, helping issuers in 13 jurisdictions and 11 industries raise $174.4 billion, more than double the amount raised during the same period in 2019. Since the start of March, the number of issuances that our Capital Markets Group has participated in has steadily risen.
The Firm represented issuers in 61 transactions totaling $80.2 billion and the underwriters in 60 transactions totaling $94.2 billion. In addition, our lawyers advised clients on other capital markets matters, including private investment in public equity (PIPE), spin-off and liability management transactions, as well as the establishment of notes and commercial paper programs.
The uncertainty of the market has raised unique challenges as regulatory developments continue to shift. In particular, issuer disclosures must now appropriately reflect the potential impact and risks posed by the pandemic. S&C’s Capital Markets Group has rapidly addressed these concerns, while remaining committed to clients’ key business considerations as they seek to access liquidity.
Over 150 lawyers, including more than 100 special counsel and associates, across nine S&C offices combined efforts over these three months, completing deals that spanned 13 jurisdictions and 11 industries:
