Matthew Friestedt, who leads the Firm’s executive compensation M&A practice, has authored an article in
The M&A Lawyer exploring the recent spate of large “merger of equal” deals, exploring recent examples on which S&C advised—such as
BB&T/SunTrust,
Harris/L3 Technologies and
Praxair/Linde—to explore what is common practice today and how things have changed over time.
The article, which was co-authored with S&C associates Amanda Toy and Katherine Nemeth, also seeks to identify the critical decisions that need to be made in these deals, including how the board of directors of the combined company will function; whether there will be a formal CEO succession plan; and more. Titled “Rise of Merger of Equal Deals,” the article was published in the January 2020 issue of
The M&A Lawyer.
