S&C Advises Cornerstone on $5.8 Billion Go-Private Acquisition by CD&R
March 10, 2022 Cornerstone Building Brands has agreed to be taken private in an acquisition by private equity firm Clayton, Dubilier & Rice (CD&R). CD&R owns 49 percent of Cornerstone and has agreed to purchase the remaining shares in a deal valued at $5.8 billion.
Cornerstone is the largest manufacturer of exterior building products for residential and low-rise non-residential buildings in North America, including vinyl windows, vinyl siding, stone veneer, metal roofing, metal wall systems and metal accessories.
CD&R is a private investment firm that has managed the investment of over $40 billion in more than 100 companies with an aggregate transaction value of approximately $175 billion.
