On May 16, Bloomberg BNA’s Corporate Law & Accountability Report published the article, “Practical Guidance for Directors Undertaking a Sale Process: Implications of Selected Recent Delaware Law Developments,” authored by Messrs. Pagnani and Pratt. The article notes the proliferation of legal challenges to merger transactions – 94 percent of deals announced in 2013 valued at more than $100 million were challenged – and provides practical guidance intended to assist directors in creating an effective and defensible sale process.
