SULLIVAN & CROMWELL LLP Partner Ted Rogers was quoted in an article in Corporate Board Member magazine on how the difficult economic climate presents new legal issues in the employment area for directors and how they can protect themselves. Mr. Rogers reviewed a range of recommended practices for companies considering layoffs, including performing a statistical analysis of the proposed layoff pool to spot any demographic patterns, and then documenting the reasons these people were chosen. He also noted that companies can minimize their litigation risk by reviewing the employment contracts of workers they intend to dismiss suggested that companies offering severance pay to employees make the payment contingent upon the employees signing a release that waives their right to bring claims against the company, including charges of discrimination or defamation.
