Matt Hurd Named Dealmaker of the Year by The American Lawyer

On March 30, Mr. Hurd was named “Dealmaker of the Year” by The American Lawyer for his work advising Bayer through its $14.2 billion acquisition of Merck's consumer care division. Mr. Hurd advised Bayer through the bidding stage with the intent to win and to get contract terms that would protect the value of the acquired product lines. Mr. Hurd told AmLaw, “Merck ran a very hot auction process…[m]any of the largest global health care companies were rumored to be in the lead at various points.” Bayer, however, offered Merck a development collaboration on one of its cardiology drugs and some rights to other heart drugs in development. Once a top competitor dropped out, Mr. Hurd said, “we stopped working on the bid and started working on a transaction.”
