Joseph Frumkin, Matthew Hurd and Eric Krautheimer Named Dealmakers of the Year 2016 by The American Lawyer

On March 27, Joseph Frumkin, Matthew Hurd and Eric Krautheimer were named Dealmakers of the Year 2016 by The American Lawyer. Joseph and Eric were recognized for their representation of AT&T Inc. in its $108.7 billion acquisition of Time Warner Inc., the largest M&A deal of 2016. The American Lawyer's profile highlighted the speed of the transaction, which minimized the potential for leaks, as well as its innovative tax structure. “It's a structure that doesn't condition the closing of the deal on being able to receive opinions that the deal is tax free to shareholders,” Joseph said. “While it would be preferable for it to be tax free, particularly for Time Warner, [that] isn't fundamental to the economics of the deal, so the thought is it isn't appropriate to be a condition.”
 
Matthew and Eric led the Firm's representation of Bayer AG in its $66 billion acquisition of Monsanto Co., the largest all-cash M&A deal of all time. Commenting on our client's success in the matter, Matthew commented that “secrecy and preparedness are what working on mergers and acquisitions is all about.” The deal involved the largest-ever acquisition financing, was the largest-ever acquisition of an American company by a foreign buyer and was the largest-ever M&A transaction by a German company.
