Melissa Sawyer and Kathy Wang authored the article, “Preparing for the 2019 Proxy Season: Practical Guidance for Directors and Board Committees,” published in the December 2018 issue of Wolters Kluwer’s Insights. The article discusses what companies and boards should consider and do in order to prepare for the 2019 proxy season. “Corporate governance circles are abuzz with discussions about board refreshment, sustainability proposals and the repercussions of the #MeToo movement, among other hot topics,” Melissa and Kathy write, explaining the current corporate governance landscape. Melissa and Kathy further discuss the importance of companies and boards meeting shareholders’ needs proactively: “Public companies increasingly have had to engage with shareholders on these topics as investors become more concerned with long-term strategy, often resulting in increased disclosure regarding the company’s policies and initiatives. Boards should take note of this trend and understand that directors may be held accountable for the execution and development of the company’s long-term value creation plan.”
