Robert Risoleo is a partner in the Firm’s Capital Markets and Finance and Restructuring Groups with broad experience in U.S. and cross-border securities offerings, including privatizations on three continents, acquisitions and joint ventures, as well as project and structured finance. He is Vice Chair of the TriBar Legal Opinion Committee.
Mr. Risoleo was the partner in charge of the Firm’s representation of Transportadora de Gas del Sur’s groundbreaking debt restructuring in 2004 (named by Project Finance International as Latin American Oil & Gas Deal of the Year) and the highly successful tender offer and refinancing of that debt in 2007.
His corporate finance practice has included scores of domestic and international debt and equity offerings, as well as securitizations of receivables and other collateral, complex tax-based structures utilizing swaps and other derivatives, and the development of innovative preferred stock products and structured notes. He currently acts as counsel to the issuer or underwriters for a number of multilateral development banks, including World Bank, Inter-American Development Bank and several others. He recently acted for Fiduciaria Bancolombia S.A. Sociedad Fiduciaria, as trustee of Fideicomiso P.A. Pacífico Tres, Fideicomiso P.A. Costera and Fideicomiso P.A. Concesión Ruta Al Mar, in separate project bond issuances to finance the construction and improvement of toll roads in Colombia. The project financings also included Colombian peso-denominated credit facilities. The transactions come out of the country’s “Fourth Generation” (4G) Project, an infrastructure program aimed at modernizing road infrastructure in the country. The Pacífico Tres matter was the first 4G project to reach financial close and was recognized with five awards in 2016, including LatinFinance’s Best Road Financing and Best Infrastructure Financing – Andes, Project Finance International’s Latin America P3 Deal of the Year, IJGlobal’s Latin America Roads Deal of the Year and Latin Lawyer’s Project Finance Deal of the Year. The Ruta al Mar matter was also recognized as IJGlobal’s 2017 Latin American Transport Deal of the Year.
Mr. Risoleo advises a number of foreign and domestic public companies with respect to a wide range of corporate and securities matters, including compliance with the requirements of the Sarbanes-Oxley Act and the Dodd-Frank Act and related regulations.
He is a regular speaker at continuing legal education programs on topics relating to new financial products, securities offerings and federal securities laws. He has co-chaired the Practising Law Institute program, Understanding Financial Products, and its predecessor programs since 1998.
