Frank Aquila, S&C’s Senior M&A Partner, appeared on a webinar with CTFN News to discuss the evolution of merger agreements, including how provisions have been modified given the current environment, and his expectations for M&A after a slower start to the year. “One month does not a year make. I think it will continue to be a strong M&A year … I’m still very optimistic,” he said.
Frank noted that there may not be a drastic about-face in the new administration’s antitrust landscape. “One indication we won’t get this dramatic sea change in antitrust enforcement is the new Hart-Scott rules and forms that were promulgated over the last year by [former FTC chair] Lina Khan … did go into effect,” he said. “People are going to be negotiating these [antitrust] provisions very heavily, and probably these are the provisions that are going to be the most important to buyers and sellers.”
