S&C partners Rodgin Cohen, Joseph Frumkin and Melissa Sawyer co-authored an op-ed in the Financial Times on the purpose of a corporation. In the op-ed, the authors reject the argument that considerations of public interest are necessarily at odds with shareholder primacy. “In fact, there need not be a divergence between a legal regime of shareholder primacy and a corporate purpose that takes into account multiple constituencies,” the authors write. “The two can and should be synthesized.”
