    Case Highlights Similarities and Differences in How English and U.S. Courts Construe “Material Adverse Effect” Clauses

    In BM Brazil & Ors v Sibanye BM Brazil & Anor, the English Commercial Court decided a buyer was not entitled to rely on a material adverse effect (“MAE”) condition to terminate an M&A transaction. The Court’s interesting judgment, handed down on 10 October, extensively cited U.S. case law and commentary, and highlights similarities and differences in how English and U.S. courts construe MAE clauses.
