Senior M&A Partner Frank Aquila and M&A Partner Lauren Boehmke co-authored the U.S. chapter of Lexology’s In-Depth: Shareholder Rights and Activism, a global reference guide providing an overview of developments in shareholder activism across international jurisdictions. Frank also served as the contributing editor of the publication and authored the preface.
The chapter provides an overview of the legal and regulatory framework of shareholder rights, activism and engagement as they relate to U.S. companies. The authors discuss the implications of federal and state laws on shareholder activism and how legislation has evolved in recent years.
Looking ahead, Frank and Lauren describe how shareholder activism will continue to play a significant role in the U.S. corporate landscape. “Political, regulatory and economic conditions will continue to have an impact on the tactics and success rates of activism campaigns. Going forward, the focus on corporate governance, operational and strategic demands and M&A-related issues is expected to continue,” they write.
