Senior M&A Partner Frank Aquila and M&A Partner Lauren Boehmke co-authored the U.S. chapter of Lexology’s In-Depth: Shareholder Rights and Activism (formerly The Shareholder Rights and Activism Review), a global reference guide that provides a summary of the legal framework and emerging trends of shareholder activism across various international jurisdictions. Frank also edited the publication and authored a preface to the edition, introducing shareholder activism and outlining broader trends in the sector.
The U.S. chapter provides an overview of the legal and regulatory framework, offering insight into federal and state laws as well as other U.S.-specific considerations. Frank and Lauren discuss key trends in shareholder activism, focusing particularly on hedge fund activists, their target companies and campaigns, and potential paths to resolution. The authors also review recent activist campaigns and emphasize the importance of remaining alert to future developments in the sector.
