London Partner Vanessa Blackmore and associate Kseniia Samokhina co-authored an article for Law360 discussing the FCA’s proposed changes to IPO research rules, including when connected research can be published and who is entitled to access issuer information. The article analyzes the proposal, why the current regime is being revisited, and what the proposed changes could mean for issuers, syndicate banks and lawyers advising on UK IPOs.
“The proposed reforms … represent a recalibration rather than a wholesale deregulation of the IPO research framework,” the authors write. “For lawyers, the key task will be to help clients take advantage of any additional flexibility while maintaining robust controls around disclosure, conflicts and research independence.”
The authors highlight that the reforms could reduce execution risk for issuers and banks, simplify transaction planning and support the UK’s competitiveness as a listing venue, consistent with the FCA’s broader effort to enhance the attractiveness and competitiveness of UK public markets.
Practice Area Associates Esther Jeapes and Kirsten Rodger contributed to the article.
