Carsten Berrar, Managing Partner of S&C’s Frankfurt office, and Partner Peter Klormann, co-authored the “Trends and Developments” chapter of the 2025 Edition of Chambers Corporate M&A Guide: Germany, analyzing recent trends and developments in Germany.
The chapter offers perspective into factors that have been impacting the German M&A market through the past year, including macroeconomic developments and dealmaking trends, such as transatlantic transactions. Carsten and Peter note that despite ongoing economic and political challenges, increased private equity activity and the need of German corporates for reorganization, strategic repositioning and add-on acquisitions have contributed to a more active M&A market.
The authors also cover regulatory developments seen over the last year including increased deal length and complexity as a result of heightened scrutiny, specifically in regard to cross-border transactions. “In the current geopolitical and economic climate, FDI and FSR bring national security and industrial policy concerns to the forefront, which makes them less predictable in terms of both timing and outcome,” Carsten and Peter write.
