    S&C Partners Marc Treviño and Melissa Sawyer Offer Insights on Dealing with Activist Directors with M&A Agendas

    S&C partners Marc Treviño and Melissa Sawyer, co-heads of the Firm’s corporate governance practice, explain how boards can deal with activist directors pursuing an M&A agenda in a recent article they authored for Corporate Secretary. Marc and Melissa note that while having an activist on a board can put management under pressure under normal circumstances, “[a]dding an agenda to sell the company or divest significant businesses will raise tensions even further.” Such situations, the authors write, “require focus, planning and careful deliberations.”
