S&C partners Frank Aquila and Melissa Sawyer and associate June Hu discuss how businesses should weigh environmental, social and governance (“ESG”) factors when considering acquisitions in the post-pandemic world in an article published in Bloomberg Law.  
 
“Although ESG factors have influenced corporate decision-making for years, these issues are becoming more pervasive,” the authors write. “Social media, social activism, an emphasis on structural and operational sustainability, and socioeconomic volatility have increased the level of ESG focus in internal deliberations. Against this backdrop, the growing impact of ESG on M&A dealmaking is both inescapable and undeniable.”
 
The authors address five categories of issues that should factor into decision-making, creating an “ESG playbook” for dealmakers: selection of targets; due diligence; valuation; deal financing; and integration, corporate governance, and other post-closing considerations.
