Sarah Payne and Melissa Sawyer participated in PLI’s Acquiring or Selling the Privately Held Company 2017. Each led a session titled “Structuring and Negotiating Earn-Outs,” which addressed the issues related to structuring and drafting earn-out arrangements in a transaction, such as formulas, disputes, and accounting and tax issues, among other topics.
 
Sarah led the session on June 2 at the San Francisco installment of the seminar, and Melissa led the session on June 23 at the New York City installment.
