S&C partners Marc Treviño and Melissa Sawyer, co-heads of the Firm’s Corporate Governance practice, appeared on the most recent episode of The Activist Insight Podcast, which featured a roundtable discussion on selected activism-related issues hosted by Command Financial. Marc and Melissa talked about how aggressive activists may be in the upcoming proxy season; whether activists may target executive compensation or poor stakeholder stewardship in the upcoming proxy season; what kinds of M&A transactions management teams should be concerned about with respect to activism; recent litigation over poison pills; and the recent wave of special purpose acquisition companies or SPACs.
Marc and Melissa were joined in the discussion by Elina Tetelbaum and Sabastian Niles of Wachtell, Lipton, Rosen & Katz; and Bob Marese, the President of Mackenzie Partners. The discussion was moderated by Kieran Poole of Activist Insight.
