Enbridge Inc. Closes $750 Million SEC-Registered Offering of Notes

S&C advised Enbridge Inc. in an SEC-registered offering of $750,000,000 of 6.00% fixed-to-floating subordinated notes due 2077. This was Enbridge's first offering of hybrid debt securities, designed to attract partial equity credit from the ratings agencies, and was effected under the multijurisdictional disclosure system.

S&C acted as U.S. counsel for Enbridge.

Enbridge is a North American leader in delivering energy, operating the world's longest crude oil and liquids transportation system, along with significant natural gas transmission and midstream businesses, gas distribution businesses and clean energy projects. S&C has also been acting for Enbridge on its pending acquisition of Spectra Energy Corp.

The S&C team included Robert Buckholz, Brian Farber, William Zhao and Matthew Aulds, with assistance from Jeffrey Hochberg, Saul Brander and Daniel Bleiberg on tax matters.
