On March 30, 2020, California State Governor Gavin Newsom issued Executive Order N-40-20 providing that, in light of the COVID-19 pandemic, effective immediately, companies incorporated in California are permitted to hold virtual-only shareholder meetings if a meeting has already been scheduled or if a meeting is required to occur before June 30, 2020.
