S&C client Bayer AG completed a 3.6 percent capital increase subscribed by Singaporean investor Temasek for total gross proceeds of €3 billion (approximately $3.7 billion). Bayer issued the new shares to a subsidiary of Temasek slightly below the market closing price at the day of placement. Temasek now holds approximately 4 percent of the issued capital stock of Bayer AG.
The proceeds from this placement will be taken into account when determining the size of the previously announced share capital increase through a rights offering with subscription rights to existing shareholders to finance the proposed acquisition of Monsanto.
The S&C Frankfurt-based team representing Bayer was led by Carsten Berrar, Konstantin Technau and Krystian Czerniecki, along with Sophie Moeder, Lars Rueve and Daniel Kornack.
