Mr. Aquila and Mr. Sampas co-authored the article, “Where Reason Still Rules Regarding Rights Plans,” which was published in the July 27 issue of Law360’s corporate finance newsletter. In the article, Mr. Aquila and Mr. Sampas discuss the ways in which Delaware case law has evolved along with rights plans and changing economic realities since what they describe as Delaware’s Court of Chancery’s “seminal decision” in Moran v. Household. The authors single out in particular the court’s decision in Selectica Inc. v. Versata as an example of how the Delaware Chancellors “have accepted the need by corporations to adapt to a changing landscape.”
