Frank Aquila and Brian Hamilton Co-Author “Dodd-Frank, Beyond Financial Regulation: What Lawyers Need to Watch”

Mr. Aquila and Mr. Hamilton co-authored an article titled, “Dodd-Frank, Beyond Financial Regulation: What Lawyers Need to Watch,” featured in the November issue of Bloomberg Law Reports – Mergers & Acquisitions. The article explored the Dodd-Frank Wall Street Reform and Consumer Protection Act and some of its legislative provisions. Mr. Aquila and Mr. Hamilton highlighted pending changes under Dodd-Frank that received less attention, such as required shareholder votes for “say-on-golden parachutes” in connection with M&A transactions and potential changes to ownership reporting requirements in Sections 13(d) and 16 of the Securities Exchange Act of 1934. Mr. Aquila and Mr. Hamilton also stated that SEC rulemakings in both areas will be crucial and noted specifically that transactional lawyers “will need to look closely at the SEC’s proposed and, when available, final ‘vote-on-golden parachute’ rules and rules that it proposes to implement changes to Sections 13(d) and 16 of the Exchange Act.”
