Frank Aquila and Sergio Galvis Discuss Cross-Border Latin American Deals in Legal Week

Mr. Aquila and Mr. Galvis authored an article titled, “New Rules of Engagement for LatAm’s Corporate Champions,” in the September 23 issue of Legal Week. The article discussed the rise of cross-border Latin American transactions, such as the recent combination of LAN and TAM airlines, in which S&C advised LAN. “It is clear that Latin American dealmaking is now truly world class,”  the authors wrote. “As the global economy improves, the pace and size of its M&A deals will surely grow.” The article also pointed out that these transactions raise issues that are typically more complex than those posed by domestic deals. The authors discussed the topics of critical importance in most cross-border acquisitions, including public disclosure, litigation potential, regulatory approvals, trading considerations, multinational coordination and corporate governance. A mastery of these areas will be increasingly crucial as more Latin American companies acquire their formerly larger competitors in the United States, the authors wrote.
