S&C Highlighted in Am Law Daily Article on ENN Energy Holdings and China Petroleum & Chemical $2.2 Billion Offer to China Gas

December 13, 2011

In a December 13 article titled, “S&C Advising on $2.2 Billion Chinese Natural Gas Bid,” The Am Law Daily highlighted S&C’s representation of a consortium comprising ENN Energy Holdings, a major Chinese natural gas supplier, and China Petroleum & Chemical (Sinopec), Asia's largest refiner, on their $2.2 billion cash offer to China Gas Holdings. Am Law outlined the players involved in the deal, including Ms. Wei, Mr. Ng, Ms. Wong in Hong Kong, together with Mr. Andronikos and Mr. Warner in London. The transaction, which is S&C’s first publicly announced Hong Kong law transaction since the commencement of our Hong Kong law practice, is a rare case of an unsolicited tender offer in Hong Kong and the first time that an unsolicited offer in Hong Kong has involved a Chinese state-owned enterprise. The article referenced a Reuters report in explaining that Sinopec’s recent activity is “driven by the company's desire to expand its supply of natural gas in order to compete with domestic energy giants PetroChina and CNOOC.”
