William Indoe’s practice focuses on the tax structuring of complex financial transactions, particularly with respect to mergers and acquisitions, divestitures and spin-offs. He has represented investment banks as well as principals in hundreds of complex transactions, including: tax-free mergers; cross-border acquisitions; conversions of “C corps” into real estate investment trusts; sales of privately owned businesses; divestitures accomplished through joint ventures; and transactions involving asset managers and other financial services providers. Mr. Indoe renders tax advice in securities offerings; participates in the preparation and negotiation of employment and severance arrangements, stock option and other incentive compensation plans; and advises on the resolution of employee benefit issues, both in the ordinary course and in change of control situations.
Mr. Indoe is a member of the American Bar Association, the New York City Bar Association and the New York State Bar Association.
