Virginia Cueva is a Special Counsel in Sullivan & Cromwell’s General Practice Group. After her experience as a Visiting Lawyer with S&C, Virginia joined the Firm as an associate in 2016. Prior to joining S&C, she practiced corporate law in Argentina, mainly serving clients in the energy, metals and industrials businesses in a wide range of transactions.
Virginia has experience in M&A matters and other strategic transactions. Her recent M&A and joint venture experience includes advising Lundin Mining in the 50/50 joint venture with BHP for copper development projects in Argentina and Chile, as well as advising Bancolombia in an agreement with Patria Investments involving the formation of a joint venture that manages the second largest fund in Colombia. Virginia’s recent strategic transaction experience includes advising Grupo Sura in a series of transactions with Grupo Nutresa, IHC Capital Holding, Grupo Argos, JGDB Holding and Nugil, as a result of which Grupo Sura ceased to be shareholder of Grupo Nutresa, and JGDB Holding, Nugil and IHC ceased to be shareholders of Grupo SURA and Grupo Argos.
Virginia also has experience in project financings as well as a wide range of corporate finance transactions. Her recent experience includes advising the sponsors in project financings for LNG facilities in the U.S. and in Africa. Virginia’s financing practice also includes advising Latin American investment grade borrowers in the mining and industrial sectors in their corporate financings.
Virginia’s debt capital markets experience includes advising Corporación Andina de Fomento (CAF) on a US$1.75 billion bond offering in November 2023 (the then largest-ever US-dollar issuance in the Latin American development bank’s history) and Antofagasta plc in its debut senior unsecured notes offering in the U.S. capital markets in October 2020. She also advised Bancolombia in 2017 on its $750 million “Basel III-compliant” Tier 2 capital offering, making Bancolombia the first bank in Colombia – and the third financial institution ever in Latin America – to issue this type of debt (recognized as IFLR Americas’ 2018 Debt & Equity Linked Deal of the Year and Bonds & Loans’ 2017 Financial Institutions Deal of the Year).
Virginia is a native Spanish speaker, fluent in English and conversational in Portuguese.
