Tiffany D. Wooley is a special counsel in Sullivan & Cromwell’s General Practice Group and a member of the Firm’s Executive Compensation Group in New York. She has broad experience advising on a range of corporate governance, securities, executive compensation and employee benefits matters.
Tiffany worked for Marsh & McLennan Companies, Inc. (NYSE: MMC) from 2004 to 2021, most recently serving as Chief Counsel for Executive Compensation & Governance and Assistant Corporate Secretary, where she worked with the Board of Directors and served as the secretary to the Compensation Committee and the Directors & Governance Committee. Prior to joining Marsh McLennan, Tiffany was an associate at S&C in the Executive Compensation and M&A Groups.
Tiffany’s expertise includes advising on the full scope of executive compensation, corporate governance and ESG matters. Her experience includes: engagement with institutional investors and proxy advisors; advising on ISS and Glass Lewis policies; third party ESG scoring; advising on all aspects of proxy statements; annual meetings of stockholders; advising on Section 16 analysis and filings, Rule 10b5-1 trading plans and executive compensation and corporate governance aspects of the Securities Exchange Act of 1934 compliance and disclosure; director and executive onboarding and offboarding; and other related matters.
Tiffany regularly participates in conferences and contributes to thought leadership in the executive compensation and governance space, including serving as a panelist for the Society for Corporate Governance’s Essentials conference in 2020 and 2021.
