    Nicholas R. Baker is an associate in Sullivan & Cromwell’s Finance Group and Restructuring Group, with a focus on debt and debt-like transactions, including project finance, acquisition finance, leveraged finance, capital markets and restructuring transactions. Nick’s practice covers a wide range of industry sectors, with a particular focus on transactions in the energy and natural resources and infrastructure sectors, including matters involving LNG, traditional fuels, minerals, and clean technology.

    A measured and collaborative communicator, he guides clients—including CFOs, treasury and project teams, and senior in-house counsel—through each stage of a transaction, providing institutional knowledge and continuity across workstreams. On behalf of clients, Nick engages in frequent discussions with financial institutions, government and multi-lateral agencies and other stakeholders to assess risk and provide creative solutions through the use of various financing structures.

    Nick is actively engaged with mentoring and regularly volunteers with his alumni and church communities.

    • Sempra Infrastructure Partners in its joint venture with an investor consortium led by Blackstone Credit & Insurance and including affiliates of KKR, Apollo and Goldman Sachs Alternatives to fund the $14 billion second phase of the Port Arthur LNG project in Jefferson County, Texas
    • The U.S. Department of Energy, through its Loan Programs Office, on loan guarantees of up to $1.64 billion to DTE Gas Company and up to $7.17 billion to DTE Electric Company to finance the replacement of natural gas main and service distribution lines and the development of generation and battery storage, respectively
    • The U.S. Department of Energy, through its Loan Programs Office, on a $584.5 million loan guarantee to subsidiaries of Convergent Energy and Power to finance the construction of a solar photovoltaic system with an integrated battery energy storage system (BESS) and three stand-alone BESS projects across Puerto Rico
    • The U.S. Department of Energy, through its Loan Programs Office, on an $861.3 million loan guarantee to a subsidiary of the AES Corporation to finance the construction of two solar photovoltaic farms equipped with battery storage and two standalone BESS in Puerto Rico
    • Minera Centinela, a joint venture between Antofagasta plc and Marubeni Corporation, in the $2.5 billion project financing for an expansion of Centinela’s existing copper mining operations in Chile
    • Sempra Infrastructure Partners in the $6.8 billion project financing of the Port Arthur LNG Phase 1 Project in Jefferson County, Texas

    • Woodfibre LNG, a joint venture between Pacific Energy and Enbridge, in the $5.1 billion LNG export project with a 2.1 mtpa liquefaction capacity in British Columbia
    • Golden Triangle Polymers Company, a joint venture between Chevron Phillips Chemical Company and QatarEnergy, in the project financing of an $8.5 billion integrated polymers facility in Orange, Texas

    Corporate and Acquisition Finance

    • Sempra in its agreement to sell 45 percent of its equity interests in its growth platform, Sempra Infrastructure Partners, to an investment entity owned by affiliates of KKR and Canada Pension Plan Investment Board for approximately $10 billion
    • Generate Capital in connection with its $1.2 billion credit agreement and its $150 million senior secured revolving loan facility with borrower UW MidCo, LLC, a subsidiary of Upwell Water LLC

    • Northwestern Mutual in a number of debt and equity transactions, including for Biocoat, Bonadent, PCI Pharma, RQM and Unison
    • Crescent Capital in a number of debt and equity transactions, including for WhiteWater
    • Fiserv in the $20 billion financing related to its acquisition of First Data Corporation and its subsequent offerings of approximately $10 billion of unsecured notes as well as other financing activities
    • Spirit AeroSystems in its Rule 144A/Regulation S offering of $900 million in unsecured notes and $230 million of exchangeable notes, $1.25 billion credit agreement, $375 million short-term delayed draw term loan facility and other financings
    • Vector Group Ltd. in its Rule 144A/Regulation S offerings of approximately $600 million of unsecured notes and $875 million of secured notes
    • CIT Group Inc. in a registered offering of $550 million of unsecured notes
    • Lenders in private credit transactions including Oaktree Capital Management and Delaware Life Insurance Company

    • Gingko Bioworks, Inc. in its acquisition of substantially all the assets of Zymergen, Inc. through a Section 363 sale process

    • Oaktree Capital Management in the Chapter 11 restructuring of SiO2 Medical Products and its affiliates
