Jared Fishman is a partner in the Firm’s Financial Services and Capital Markets Groups. His practice is primarily focused on advising clients in mergers and acquisitions, divestitures, capital raisings, investments and similar transactions. He also regularly advises clients on a wide range of corporate governance, disclosure and general corporate matters, as well as bank regulatory matters. He is a co-head of the firm’s Cybersecurity practice and a coordinator for the securities and technology M&A practices.
He has advised on M&A transactions for a number of financial institutions including FirstBank in its pending sale to PNC, Evercore in its acquisition of Robey Warshaw, Discover in its acquisition by CapitalOne, Fiserv in its merger with First Data, Bank of New York in its merger with Mellon, the acquisition of Commerce by TD, FirstMerit in its merger with Huntington, HSBC’s sale of its U.S. credit card business and certain branches, and American Express in the sale of its Costco credit card portfolio. As well investment transactions, such as Liberty Capital’s investments in New York Community Bank and Enstar and AT&T, Google, Verizon and Vodafone’s investment in AST SpaceMobile.
He also serves as regular disclosure and/or issuer counsel to a number of companies including AIG, U.S. Bancorp, Regions Financial and Bakkt and is very active in the firm’s fintech practice, including, among other matters, work on bank/fintech partnerships, CRB Group’s $620 million Series D financing and Stripe’s $6.5 billion private placement, strategic and venture investments for Regions, Shift4, UBS and U.S. Bancorp. In addition, he has worked with numerous companies to obtain banking charters, including SmartBiz’s recent approval to acquire a national bank and NewtekOne’s acquisition of National Bank of New York City and conversion to a bank holding company.
