    Mr. Simpson is an associate in Sullivan & Cromwell’s General Practice group with broad experience in mergers and acquisitions, capital markets, restructuring and investment management transactions. Mr. Simpson has advised financial and strategic clients in transactions across a range of funding stages (including early-stage, growth-stage, mature and distressed companies) and industries (including financial services, consumer and retail, pharmaceuticals, automotive and sports and entertainment). Mr. Simpson began his career in the Firm’s New York office and joined the London office in 2019.

    Experience

    Recent experience includes representing:
    • A European investment holding company in connection with establishment of its post-Brexit UK/EU fund management complex
    • Rhône Capital and Baker & Baker on the sale of Brill, its North American baking business, to Olympus Growth Fund VI
    • A sovereign wealth fund in multiple investments in Europe, Asia and the United States
    • Garrett Motion Inc. on its reorganization pursuant to a voluntary Chapter 11 bankruptcy proceeding, including its stalking horse purchase agreement with KPS Capital Partners to buy its business for $2.1 billion prior to filing for bankruptcy protection, its bankruptcy court supervised auction including multiple bidders, and its ultimate agreement to be acquired by a consortium of its stockholders led by Centerbridge Partners and Oaktree Capital at an enterprise value of approximately $3.1 billion
    • Fiserv Inc. in its $22 billion acquisition of First Data Corporation
    • ProSight Global, Inc. on its $110 million SEC-Registered IPO and listing on the NYSE
    • The underwriters for Amalgamated Bank on its IPO and listing on NASDAQ
