    Frank Orlich is an associate in Sullivan & Cromwell’s Litigation Group. His practice spans a wide range of complex civil litigation matters in federal and state trial and appellate courts, including shareholder derivative actions, breach-of-contract litigation, and class actions. His practice also focuses on government investigations, including by the Federal Trade Commission, U.S. Securities and Exchange Commission and U.S. Department of Justice.

    Experience

    • Canadian Pacific Railways Limited (CP) in its $31 billion deal to acquire Kansas City Southern, defeating a competing bid by Canadian National. Successfully persuaded the Surface Transportation Board—an agency that oversees competition in the freight rail industry—to allow CP to use a voting trust, a key component of CP’s successful bid.
    • Subway in its acquisition by Roark Capital.
    • NMG, parent company of Neiman Marcus and Bergdorf Goodman, in its $2.65 billion pending acquisition by HBC, parent company of Saks Fifth Avenue.
    • Various corporations and financial institutions in SEC, FINRA and other regulatory inquiries on matters including insider trading and alleged violations of federal and state securities laws.
    • Barclays in putative antitrust class action concerning the U.S. Treasury. Obtained dismissal of all claims at district court.
